Unit description
This unit studies the nature, formation and management of the modern corporation. It examines the consequences of the adoption of corporate form including the separation of legal personality between the company and its shareholders and the impact of limited liability. The extensive common law and statutory regulatory regime applicable to directors and other company officers in the management of the company is surveyed as is the important role of shareholders' rights in governing this entity. The examination of the corporation is undertaken in the context of globalisation where the proliferation of corporate governance codes is increasing.

(1) External students attend the On-Campus sessions. Internals attend internal tutorials. Continuous attendance is recommended as the course concludes with an exam.
(2) Every student in the course must secure a mark of fifty and above to complete the course successfully.
(3) The essay assignment will be released on day one of the course on iLearn. The essay length is 1500 words and it is due 1 September and must be submitted via Turnitin. Information accompanying the essay question will include the interpretive criteria for marking the essay.
(4) Every external student is responsible for ensuring they know the on campus session dates.
(5) If, for justifiable reasons, a student is unable to submit the written assignment on time, he or she may submit an application for Special Consideration. If Special Consideration is granted the student will be given a different exercise to be completed at a time determined by the unit convener.
(6) If, for justifiable reasons, a student is unable to sit the final exam on the official date he or she may submit an application for Special Consideration. If Special Consideration is granted the student will be given a supplementary exam at a time chosen by the unit convener.
(7) The exam will be closed book but you will be allowed to take two A4 size pages of notes into the exam.
(8) In the absence of a successful application for a special consideration due to a disruption to studies, any assessment task submitted after its published deadline will not be graded and will receive a mark of zero. Applications for a Disruption to Studies are made electronically via ask.mq.edu.au and should be accompanied by supporting documentation. Students should refer to the Disruption to Studies policy for complete details of the policyand a description of the supporting documentation required.
(9) Word limits will be strictly applied and work above the word limit will not be marked.
(10) The essay assignment is to be submitted electronically. Plagiarism detection software is used in this unit.
(11) Detailed marking guidelines/rubrics will be used on iLearn
(12) A document noting the weekly readings will be available on iLearn on the first day of semester. The lectures will follow the readings.
